These Terms of Use are the contract for the AEIS software platform. They do not create an engineering-consulting engagement or transfer responsibility for a project, design, submission, or professional sign-off to AEIS.

By accessing or using AEIS, you accept these Terms for yourself and, where applicable, the organisation you represent.
AEIS grants a limited right to use the Service. AEIS keeps ownership of the Service and its intellectual property.
You remain responsible for your accounts, project materials, permissions, engineering judgments, and final deliverables.
These Terms explain how AEIS handles Project Data and personal data, including cloud model-improvement controls and access or correction requests.
AEIS software and generated outputs support engineering workflows but do not provide professional engineering advice, certification, or regulatory approval.
These Terms include important limits on AEIS liability, an indemnity for certain user-caused claims, and Hong Kong courts as the dispute forum.

Agreement and scope

These Terms are a binding agreement between you and the AEIS entity that makes the Service available to you or is identified on your order form, invoice, or subscription confirmation (AEIS, we, us, or our). The Service means the AEIS website, applications, desktop software, APIs, documentation, updates, hosted features, support channels, and related software-platform services.

You accept these Terms when you access, download, install, register for, sign in to, call an API for, or otherwise use the Service. If you use the Service for an organisation, you confirm that you have authority to bind that organisation and that references to you include that organisation and its authorised users.

A separate written order form or software subscription agreement signed by AEIS and your organisation controls only to the extent that it expressly conflicts with these Terms. Any purchase order or supplier terms are rejected unless AEIS expressly agrees to them in writing.

Accounts and subscriptions

You must provide accurate account information, keep it current, protect your credentials, and promptly notify AEIS of suspected unauthorised access. You are responsible for all activity carried out through your account and for ensuring that every authorised user complies with these Terms.

Access is personal to the authorised user or organisation allocation and may not be shared, resold, rented, or transferred without AEIS written permission.
AEIS may require identity, organisation, licence, payment, or security checks before or during access.
Free trials, beta features, previews, and evaluation access are optional, may be limited or withdrawn, and may have additional written conditions.
Where the Service is paid, you must pay the applicable fees, taxes, and charges when due. Fees are non-refundable except where required by applicable law or expressly agreed by AEIS in writing.

Software licence and restrictions

Subject to these Terms and payment of applicable fees, AEIS grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to use the Service for your internal business purposes during the applicable subscription or access period.

You must not, and must not permit anyone else to:

copy, modify, distribute, sell, lease, sublicense, or commercially exploit the Service except as expressly permitted by AEIS;
reverse engineer, decompile, disassemble, bypass technical controls, or attempt to derive source code except where applicable law expressly permits it and cannot be excluded;
scrape, probe, scan, interfere with, overload, or test the security of the Service without AEIS prior written permission;
use the Service to develop, train, or improve a competing product or service;
upload or transmit unlawful, malicious, infringing, confidential, or unauthorised material; or
use the Service in a manner that violates law, third-party rights, licence restrictions, or your organisation's policies.

Project data and cloud use

You retain ownership of project data, models, files, prompts, instructions, outputs, and other material you submit or generate through the Service (Project Data). You are responsible for obtaining every right, consent, licence, and approval needed to provide Project Data to AEIS and to use the Service with it.

You grant AEIS a non-exclusive, worldwide, royalty-free licence to host, process, transmit, reproduce, adapt, back up, analyse, secure, support, and otherwise use Project Data only as needed to operate, maintain, protect, support, comply with law, and improve the Service. AEIS does not acquire ownership of your Project Data.

After the published effective date, Project Data handled through AEIS cloud services may be used for model improvement by default unless an organization administrator opts out for the organization. This may include project inputs and outputs, prompts and responses, support content, and product telemetry. Local-only desktop content is outside this path unless a licensed workflow sends it to AEIS cloud services.

Credentials, secrets, tokens, authentication and session records, payment data, security and audit records, malware, and restricted content are excluded from dataset use.
Eligible material is screened and held in controlled quarantine until an AEIS reviewer records the required quality and sensitivity decision.
An organization opt-out immediately stops future collection and starts deletion of retained future-use copies, but cannot retroactively remove learning already incorporated into a trained model.

Do not submit material you are not permitted to disclose. You remain responsible for preserving your own records and for exporting Project Data before an account, subscription, or workflow ends. Personal data and your rights

AEIS may collect personal data that you provide or that is needed to operate the Service, including evaluation and contact details, account and session information, organisation and licence records, support correspondence, Project Data, and technical, security, and usage records.

AEIS uses personal data to respond to requests, verify and administer access, operate and support the Service, protect users and systems, meet legal or operational obligations, and carry out the model-improvement use described above. AEIS may disclose relevant data to personnel and service providers that need it for those purposes, including hosting, identity, storage, AI, email, monitoring, and support providers, as well as professional advisers and authorities where disclosure is required or permitted by law. Those providers may process or store data outside Hong Kong.

AEIS keeps personal data only for as long as needed for the collection purpose, operational needs, or legal requirements. Model-improvement quarantine material is retained for up to 30 days. Approved material is retained only until it is retired from the relevant training corpus or the organization opts out.

This section is framed around the Hong Kong Personal Data (Privacy) Ordinance and its Data Protection Principles, including access and correction rights. Send access and correction requests to support@aeisai.com. AEIS may need to verify your identity and the relevant account, request, support case, or workflow before responding.

AEIS IP and feedback

AEIS and its licensors own all rights, title, and interest in the Service, including its software, workflows, interfaces, documentation, designs, algorithms, templates, content, marks, and improvements. Except for the limited licence above, these Terms do not grant you any intellectual-property right in the Service.

If you provide suggestions, feedback, or ideas about the Service, you grant AEIS a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation, provided AEIS does not identify you or your organisation without permission.

Engineering outputs and third-party tools

AEIS provides software tools and generated outputs to support engineering workflows. AEIS does not provide professional engineering advice, project-specific certification, professional sign-off, construction approval, regulatory approval, or a guarantee that a design, model, report, calculation, output, or workflow complies with a law, code, contract, or project requirement.

You and your qualified professionals remain solely responsible for reviewing and independently verifying all inputs, assumptions, calculations, outputs, models, specifications, drawings, reports, and final deliverables before relying on or issuing them. Do not use the Service as the sole basis for a safety, compliance, construction, procurement, or professional decision.

The Service may interoperate with third-party software, data, APIs, or services, including engineering tools. AEIS does not control their availability, licensing, configuration, security, accuracy, or output and is not responsible for third-party products or services.

Availability and suspension

AEIS may modify, update, discontinue, or restrict any part of the Service, including features, integrations, APIs, storage, support, and access controls. AEIS will use reasonable efforts to avoid material disruption where commercially practicable, but does not guarantee uninterrupted, error-free, secure, compatible, or available Service.

AEIS may immediately suspend or restrict access where it reasonably believes there is a breach of these Terms, non-payment, a security or legal risk, suspected fraud, misuse, infringement, risk to the Service or other users, or a requirement to protect AEIS, its suppliers, or the public.

Fees, disclaimers and liability

Except for any express written warranty from AEIS, the Service and all outputs are provided on an as-is and as-available basis. To the maximum extent permitted by applicable law, AEIS disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, security, and error-free operation.

To the maximum extent permitted by applicable law, AEIS will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive loss, or for lost profit, revenue, data, opportunity, goodwill, business interruption, or cost of substitute services, arising out of or related to the Service or these Terms.

To the maximum extent permitted by applicable law, AEIS aggregate liability arising out of or related to the Service or these Terms will not exceed the amounts paid to AEIS for the Service giving rise to the claim during the 12 months before the first event giving rise to liability. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or death or personal injury caused by negligence where applicable law does not permit exclusion or limitation.

Indemnity and termination

To the maximum extent permitted by applicable law, you will indemnify and keep AEIS indemnified against claims, losses, liabilities, costs, and expenses arising from your Project Data, your breach of these Terms, your unlawful use of the Service, your breach of third-party rights, or your use of outputs without appropriate professional review.

You may stop using the Service at any time. AEIS may terminate these Terms or your access immediately for the suspension grounds above or for any material breach. On termination, your licence ends and you must stop using the Service. Sections that by their nature should survive, including Project Data permissions, AEIS IP, disclaimers, liability limits, indemnity, and dispute provisions, will survive.

Hong Kong law and contact

These Terms and any non-contractual obligations arising from them are governed by the laws of Hong Kong. You and AEIS submit to the exclusive jurisdiction of the courts of Hong Kong for any dispute arising out of or related to these Terms or the Service.

AEIS may update these Terms by posting a revised version on this page. Changes take effect on the date stated in the revised Terms, and continued use after that date means you accept them. You agree that electronic notices, online acknowledgements, and records of access or acceptance may be used as evidence of the agreement to the maximum extent permitted by applicable law.
